1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “Customer”) and Asuna Labs (“we”, “us”, or “our”), governing your use of the EngageTrack analytics platform, dashboard, tracking SDK, APIs, and related services (collectively, the “Service”).

By creating an account or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not use the Service.

2. Service Description

EngageTrack is a privacy-first, cookie-free web analytics platform that enables website owners to understand their website traffic without compromising visitor privacy. The Service includes:

• A lightweight JavaScript tracking script for data collection
• A web-based analytics dashboard with real-time and historical insights
• Revenue attribution through Stripe, LemonSqueezy, Paddle, and Polar integrations
• Team collaboration with role-based access control
• API access for programmatic data retrieval (on eligible plans)
• Goal tracking, funnel analysis, and visitor journey insights

3. Account Registration

To use the Service, you must create an account by providing your name, email address, and a password, or by authenticating via Google or GitHub OAuth. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized use of your account
• Accept responsibility for all activity under your account

You must be at least 16 years of age to create an account.

4. Free Trial & Subscriptions

4.1 Free Trial

New accounts receive a 14-day free trial with no credit card required. At the end of the trial, you must subscribe to a paid plan to continue using the Service. If you do not subscribe, your access to analytics data will be suspended until a plan is activated.

4.2 Paid Subscriptions

Paid plans are billed on a recurring basis (monthly or annually) via Stripe. By subscribing, you authorize us to charge your payment method on file at the start of each billing period.

• Prices are displayed in the currency shown at checkout and are exclusive of applicable taxes unless stated otherwise.
• Each plan includes a monthly pageview allowance. Usage beyond your plan's limit may result in a temporary restriction or an automatic upgrade, depending on your plan settings.
• We reserve the right to change pricing with 30 days' written notice. Price changes will take effect at the start of your next billing cycle.

4.3 Cancellation & Refunds

You may cancel your subscription at any time through the dashboard. Upon cancellation, you will retain access until the end of your current billing period. We do not offer prorated refunds for partial billing periods. Refund requests for annual plans may be considered on a case-by-case basis within 14 days of purchase.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

• Use the Service to track websites you do not own or have authorization to monitor
• Attempt to circumvent usage limits, rate limits, or technical restrictions
• Reverse engineer, decompile, or attempt to extract the source code of the Service (except as permitted by law)
• Use the Service to collect personally identifiable information without appropriate legal basis and visitor consent, where required
• Resell, sublicense, or redistribute the Service without our prior written consent
• Introduce malicious code, viruses, or interfere with the Service's infrastructure
• Use the Service for any illegal activity or to facilitate the violation of any applicable law

6. Data Ownership & Processing

6.1 Your Data

You retain full ownership of the analytics data collected through the Service on your websites (“Customer Data”). We process Customer Data solely to provide the Service to you and do not sell, share, or use it for advertising purposes.

6.2 Data Processing Agreement

Where we process personal data on your behalf as a data processor under GDPR, data processing is governed by our Data Processing Agreement (“DPA”), available at /dpa. 6.3 Data Portability

You may export your analytics data in CSV format at any time through the dashboard (on eligible plans) or by contacting our support team.

7. Intellectual Property

The Service, including its source code, design, logos, trademarks, documentation, and all related intellectual property, is and remains the exclusive property of Asuna Labs. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Service during your subscription period.

The EngageTrack tracking script is licensed for use solely in connection with your EngageTrack account and must not be modified, redistributed, or used independently of the Service.

8. Service Availability

We strive to maintain high availability and reliability. However, we do not guarantee uninterrupted or error-free access to the Service. We may temporarily suspend the Service for maintenance, updates, or due to circumstances beyond our control.

The tracking script is designed to fail silently — if our servers are unavailable, your website's performance and functionality will not be affected.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASUNA LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Our total aggregate liability for any claims arising under these Terms shall not exceed the total amount paid by you to us during the 12-month period immediately preceding the claim.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS OR THAT ANALYTICS DATA WILL BE COMPLETELY ACCURATE OR COMPREHENSIVE.

11. Termination

You may terminate your account at any time by contacting us or using the account settings in the dashboard. We may suspend or terminate your account if:

• You breach any provision of these Terms
• Your payment is overdue for more than 30 days
• We are required to do so by law or to protect the security of the Service
• Your account has been inactive for more than 12 months

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination to allow for data export. After the 30-day window, active and indexed data is permanently deleted from our systems. Backup copies are purged within 90 days of termination. 12. Indemnification

You agree to indemnify, defend, and hold harmless Asuna Labs and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the European Union and the applicable national laws of the jurisdiction in which Asuna Labs is established, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts in that jurisdiction.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or a notification in the dashboard. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
